In this episode, Dan Byrne speaks with Níall Fitzgerald, Head of Ethics and Governance at Chartered Accountants Ireland. 

The two discuss the new Irish Corporate Governance Code, which has been fully applicable since January 2025. The code gives Ireland a new independence in terms of oversight, as the country previously relied on the principles of the UK code – a position that became more impractical when the UK left the EU. 

However, since Ireland and the UK remain closely linked in the business world, both codes overlap in a very unique way, meaning that businesses on all sides of the Irish border should be clear on where they stand and who they report to.

About our guest

Niall Fitzgerald has been Head of Ethics and Governance at Chartered Accountants Ireland since 2017, and is a graduate of both Galway and Cambridge Universities. His work in accountancy means he has become an expert in corporate governance codes, the fundamental rulebooks setting out how boards should run companies. 

Through his work, Níall has seen the evolution of Ireland’s corporate governance code in action and has welcomed the publication of the Irish code in September 2024, saying it aligns closely with the UK’s best-in-class governance code but with some Irish modifications, chiefly around the fact that Ireland is an EU member state while the UK is not. Nevertheless, both jurisdictions remain closely connected in the business world, which makes the region quite unique when it comes to following increasingly strict governance standards.
